      How this tracker works

      Enter each grant's date, total shares, vesting term and cliff, and this works out exactly how much of that grant will have vested by a given date. First, you get a lump-sum amount at the cliff date equal to the pro-rata share of the grant that the time from the grant date through the cliff date represents. Then you receive the rest in even monthly or quarterly chunks until the grant finishes vesting. Vested and unvested totals update automatically as time passes, since the schedule is entirely date-driven, no manual updates needed unless the grant itself changes.

      A worked example: a 4,000-share grant with a standard 4-year term and 1-year cliff has a cliff of exactly 1,000 shares (12 of 48 months, 25%), then the remaining 3,000 shares vest in 36 even monthly installments of about 83 shares each. Two years after the grant date, exactly half the grant, 2,000 shares, has vested, the cliff's 1,000 plus 12 of the 36 post-cliff monthly installments, another 1,000. That even 50% split at the halfway point is a direct result of the schedule's structure, not a coincidence.

      What happens tax-wise at each vest

      RSUs are taxed as ordinary income at the moment they vest, based on the share price that day, regardless of whether you sell them. Most employers withhold using the IRS's standard federal supplemental wage rate, 22% on amounts up to $1 million in a calendar year, 37% above that, plus your state's own withholding and FICA taxes. That standard rate frequently under-withholds relative to what higher earners actually owe once RSU income stacks on top of salary and pushes into a higher marginal bracket, a gap worth knowing about well before tax season rather than discovering it then. The combined tax rate field above lets you set your own estimate rather than assuming the default 22% covers everything; if you're unsure, a rate somewhat above your marginal income tax bracket is a more conservative starting point than the bare federal minimum.

      Frequently asked questions

      Why does the cliff take exactly 25% of a standard 4-year grant?
      It's not by chance but through the nature of the math involved. A standard grant vests in even periods across its full term; the first 12 months of a 48-month grant is exactly a quarter of the timeline, so the cliff, the pro-rata share of the grant that period represents, works out to 25 percent of the total grant. Following the cliff, the remaining 75 percent vests in an evenly spaced pattern of monthly or quarterly increments over the remaining three years, which is why 4-year grants with a 1-year cliff end up vesting in a straight line overall despite the lump-sum cliff event.
      Does this track stock options too?
      No, RSUs only, on purpose. Stock options, especially incentive stock options (ISOs), carry a materially different and more consequential tax treatment, exercise price, the bargain-element spread, and potential alternative minimum tax (AMT) exposure, where a wrong assumption can genuinely cost you money. That calculation deserves its own careful, separate build rather than a rushed addition here.
      How accurate is the tax withholding estimate?
      A plan for how much to withhold, not a paystub. When RSUs vest, the IRS considers that income to be ordinary income and applies its standard federal supplemental wage withholding rate of 22%, unless you've earned over $1 million in wages during the calendar year, at which point the federal withholding rate jumps to 37%, plus your state's own withholding and FICA. This tool uses one combined rate you set, rather than every state's complete withholding schedule, since that would require far more data than this build attempts to source. Many people find their actual marginal tax rate on RSU income ends up higher than the standard 22% withholding, so treat what's withheld and what you'll actually owe as two separate numbers worth reconciling.
      Why does this ask for the price per share manually instead of pulling it live?
      Because a live real-time market-data feed requires a license this free tool doesn't have, the same reason every calculator on this site works from numbers you enter rather than a live feed. Update the price when it moves meaningfully; the vesting schedule itself remains valid regardless of price.
      What if my company uses a different vesting schedule than the standard cliff-then-even structure?
      This models the most common structure, a single cliff followed by even monthly or quarterly vesting for the rest of the term, which covers the large majority of RSU grants at public and late-stage private companies. A smaller number of companies use back-loaded, front-loaded, or custom schedules; if yours doesn't match this shape, the totals here won't be accurate for that specific grant, so check your grant documentation for the exact schedule.
      Can I track grants from more than one employer?
      Yes, each grant is its own entry with its own name, dates and share count, so grants from a current job and a previous one, or from switching employers, sit side by side with no special handling needed.
      Is my equity data private?
